Vilkår for Pastinak

1. Aftalen

Disse vilkår gælder for din brug af Pastinak (pastinak.com). Pastinak leveres af:

Ordinem Group ApS, CVR 44358212, Karl Bjarnhofs Vej 13, 7120 Vejle Øst, Danmark – hey@pastinak.com ("vi").

Når du opretter en konto, accepterer du vilkårene på vegne af dig selv og den virksomhed, du opretter kontoen for ("du").

2. Tjenesten

Pastinak er et dansk bogføringssystem til små og mellemstore virksomheder. Det omfatter bl.a.:

fakturaer, kreditnotaer og tilbud med accept-link
købsbilag, der låses ved bogføring
abonnementer og faste fakturaer til dine kunder
posteringer, der ikke kan ændres eller slettes, kun tilbageføres
dansk standardkontoplan og Skattestyrelsens standardmomskoder
e-faktura via NemHandel (OIOUBL og Peppol)
eksport og import af SAF-T 2.1
rapporter
integration med Newrise via API-nøgler og webhooks

Uden for Danmark: Pastinak kan bruges af virksomheder uden for Danmark, men regnskabslogikken (kontoplan, momskoder, indberetninger) er dansk, indtil Pastinak er lokaliseret til andre lande. Du er selv ansvarlig for, at det passer til de regler, din virksomhed er underlagt.

På vej: MitID-login og CVR-opslag – lovkrav for registrerede bogføringssystemer fra 1. marts 2027.

Registrering: Pastinak skal lige registreres hos Erhvervsstyrelsen som digitalt bogføringssystem, før du kan bogføre i den.

Vi udvikler løbende Pastinak og kan ændre, tilføje eller fjerne funktioner. Fjerner vi en væsentlig funktion i en betalt plan, giver vi besked i rimelig tid forinden.

3. Din konto

Du skal give korrekte oplysninger, når du opretter dig, og holde dem opdateret.
Du skal passe på dine loginoplysninger og API-nøgler. Du er ansvarlig for alt, der sker via din konto, også af de brugere, du giver adgang.
Fortæl os straks på hey@pastinak.com, hvis du tror, at nogen har fået uberettiget adgang til din konto.

4. Planer og betaling

Alle starter på Gratis. Der er ingen prøveperiode, og der kræves ikke betalingskort ved oprettelse.
Unlimited betales forud for en måned eller et år ad gangen med kort. Der er ingen anden binding end den valgte betalingsperiode.
Alle priser er ekskl. moms.
Danske kunder betaler i DKK. Virksomheder i USA betaler i USD. USD-priserne er EUR-priserne omregnet med 1 EUR = 1,1253 USD, afrundet til hele dollars. Alle andre betaler i EUR.
Pakker med Newrise + Pastinak købes hos Newrise og er ikke omfattet af disse vilkår.
Vi kan ændre priserne med rimeligt varsel. Ændringen gælder fra din næste betalingsperiode.
På Gratis kan du oprette op til 5 fakturaer pr. kalendermåned, regnet efter fakturadato og med kladder medregnet. Er grænsen nået, kan du ikke oprette flere fakturaer den måned, før du opgraderer til Unlimited under Indstillinger → Abonnement, eller en ny måned begynder.

5. Opsigelse

Du kan opsige Unlimited når som helst i kundeportalen, som du når fra Pastinak.
Opsigelsen får virkning ved udgangen af den betalte periode. Herefter overgår kontoen til Gratis.
Betalte perioder refunderes ikke.
Du kan altid eksportere dit regnskab i SAF-T 2.1, også på Gratis.
Vi kan lukke eller begrænse en konto ved væsentlig misligholdelse, fx misbrug, ulovlig brug eller manglende betaling.

6. Dit ansvar for dit regnskab

Pastinak er et værktøj. Du er selv ansvarlig for din bogføring: at posteringer, bilag, moms og indberetninger er korrekte og rettidige, og at du opfylder bogføringsloven, momsloven og andre regler, der gælder for din virksomhed.
Du er selv ansvarlig for at opbevare dit regnskabsmateriale så længe, loven kræver.
Vi yder ikke regnskabs-, revisions-, skatte- eller juridisk rådgivning.
Du er ansvarlig for, at det indhold, du lægger i Pastinak, er lovligt, og at du har ret til at behandle de personoplysninger, du lægger ind.

7. Data og databehandling

Dine data er dine. Du kan eksportere dit regnskab i SAF-T 2.1.
Vores behandling af personoplysninger er beskrevet i privatlivspolitikken: pastinak.com/privatliv.
For de personoplysninger, du lægger i dit regnskab, er vi databehandler for dig. Ønsker du en databehandleraftale, så skriv til hey@pastinak.com.
Kundedata ligger i Tyskland (EU).

8. Tilgængelighed

Vi gør vores bedste for, at Pastinak er stabilt og tilgængeligt, men vi kan ikke love, at tjenesten altid kører uden afbrydelser eller fejl. Der kan være planlagt vedligeholdelse og nedetid hos os eller vores leverandører. Vi varsler planlagt vedligeholdelse, når det er muligt.

9. Ansvarsbegrænsning

Vi er ansvarlige efter dansk rets almindelige regler, med de begrænsninger, der står her.
Vi er ikke ansvarlige for indirekte tab, fx driftstab, tabt fortjeneste, tab af data eller følgeskader.
Vores samlede ansvar er begrænset til det beløb, du har betalt for Pastinak i de 12 måneder før skaden.
Vi er ikke ansvarlige for forhold uden for vores kontrol (force majeure), herunder nedbrud hos tredjeparter som hosting, betalings-, e-mail- og e-fakturaleverandører.
Begrænsningerne gælder ikke ved forsæt eller grov uagtsomhed.

10. Kortbetaling på fakturaer

Når du slår kortbetaling til, kan dine kunder betale fakturaen med kort, Apple Pay, Google Pay eller MobilePay. Pastinaks gebyr er 0,5 % plus moms pr. betaling. Derudover betaler du betalingsudbyderens almindelige kortgebyrer. Gebyret trækkes ved hver betaling, og du får hver måned en samlet faktura fra Ordinem Group ApS på de gebyrer, der er trukket. Ved indsigelse opkræver Stripe gebyret hos din virksomhed. Gebyrer tilbagebetales ikke ved refusion. Du er sælger og ansvarlig for refusioner over for din kunde. Betalingstjenesterne leveres af Stripe og er underlagt Stripe Connected Account Agreement (https://stripe.com/legal/connect-account).

11. Ændringer i vilkårene

Vi kan ændre vilkårene. Væsentlige ændringer varsler vi i Pastinak eller pr. e-mail med rimeligt varsel. Bruger du Pastinak efter ændringen er trådt i kraft, accepterer du de nye vilkår.

12. Lovvalg og værneting

Aftalen er underlagt dansk ret. Tvister afgøres ved de danske domstole, ved den ret, hvor Ordinem Group ApS har hjemting.

Pastinak terms

1. The agreement

These terms apply to your use of Pastinak (pastinak.com). Pastinak is provided by:

By creating an account, you accept these terms on behalf of yourself and the business you create the account for ("you").

2. The service

Pastinak is a bookkeeping system for small and medium-sized businesses, made in Denmark. What you get depends on the country your business is registered in.

For all businesses:

invoices, credit notes and quotes with an accept link
purchase vouchers that are locked when booked
subscriptions and recurring invoices to your customers
postings that can't be edited or deleted, only reversed
reports
integration with Newrise via API keys and webhooks

For businesses in Denmark, also:

the Danish standard chart of accounts and the Danish Tax Agency's standard VAT codes
e-invoicing via NemHandel (OIOUBL and Peppol)
SAF-T 2.1 export and import
card payment on invoices (section 10)

For businesses outside Denmark, also:

your own VAT rates: standard, reduced, 0%, exempt, reverse charge and intra-Community supply
invoices that show your VAT number, and your customer's VAT number when reverse charge applies
amounts in your country's currency
a standard chart of accounts for your country, which you can edit

Outside Denmark: Pastinak doesn't file VAT returns or other reports to authorities outside Denmark. It doesn't follow country-specific bookkeeping rules. It doesn't send e-invoices, take card payments on invoices or look up VAT numbers (we check the format only). Each business keeps its books and invoices in one currency: the currency of its country. You're responsible for making sure Pastinak fits the rules your business is subject to.

Coming in Denmark: MitID login and CVR lookup – a legal requirement for registered Danish bookkeeping systems from 1 March 2027.

Registration in Denmark: Pastinak needs to be registered with the Danish Business Authority as a digital bookkeeping system before businesses in Denmark can keep their books in it. Until then, businesses in Denmark can join the waitlist.

We keep developing Pastinak and may change, add or remove features. If we remove a significant feature from a paid plan, we'll give reasonable notice.

3. Your account

When you sign up, you choose the country your business is registered in. The country decides your currency and which features you get. Country and currency are set when the account is created. If they need to change, email hey@pastinak.com.
You must give correct information when you sign up and keep it up to date.
You must keep your login details and API keys safe. You're responsible for everything that happens through your account, including by users you give access.
Tell us immediately at hey@pastinak.com if you think someone has gained unauthorised access to your account.

4. Plans and payment

Everyone starts on Free. There's no trial and no payment card is required at signup.
Unlimited is paid in advance, one month or one year at a time, by card. There's no commitment beyond the chosen billing period.
All prices are excl. VAT.
Businesses in Denmark pay in DKK. Businesses in the United States pay in USD. USD prices are the EUR prices converted at 1 EUR = 1.1253 USD, rounded to whole dollars. Everyone else pays in EUR.
Newrise + Pastinak bundles are bought from Newrise and aren't covered by these terms.
We may change prices with reasonable notice. The change applies from your next billing period.
On Free you can create up to 5 invoices per calendar month, counted by invoice date and including drafts. Once the limit is reached, you can't create more invoices that month until you upgrade to Unlimited under Settings → Subscription, or a new month begins.

5. Cancellation

You can cancel Unlimited at any time in the customer portal, which you reach from Pastinak.
Cancellation takes effect at the end of the paid period. The account then moves to Free.
Paid periods are not refunded.
Businesses in Denmark can always export their books as SAF-T 2.1, including on Free. Businesses outside Denmark can ask for an export of their books at hey@pastinak.com.
We may close or restrict an account in case of material breach, e.g. abuse, unlawful use or non-payment.

6. Your responsibility for your books

Pastinak is a tool. You're responsible for your own bookkeeping: that postings, vouchers, VAT and filings are correct and on time, and that you follow the bookkeeping, VAT and tax rules that apply to your business. For businesses in Denmark, that includes the Danish Bookkeeping Act and the Danish VAT Act.
You're responsible for keeping your accounting records for as long as the law in your country requires.
We don't provide accounting, auditing, tax or legal advice.
You're responsible for making sure the content you put into Pastinak is lawful, and that you're entitled to process the personal data you enter.

7. Data and data processing

Your data is yours. Businesses in Denmark can export their books as SAF-T 2.1. Businesses outside Denmark can ask us for an export.
How we process personal data is described in the privacy policy: pastinak.com/privatliv.
For the personal data you put into your books, we act as your data processor. If you'd like a data processing agreement, email hey@pastinak.com.
Customer data is stored in Germany (EU).

8. Availability

We do our best to keep Pastinak stable and available, but we can't promise the service will always run without interruptions or errors. There may be planned maintenance and downtime on our side or at our providers. We give notice of planned maintenance where possible.

9. Limitation of liability

We're liable under the general rules of Danish law, subject to the limitations set out here.
We're not liable for indirect loss, e.g. business interruption, lost profit, loss of data or consequential damage.
Our total liability is limited to the amount you've paid for Pastinak in the 12 months before the damage occurred.
We're not liable for circumstances beyond our control (force majeure), including outages at third parties such as hosting, payment, email and e-invoicing providers.
These limitations don't apply in cases of intent or gross negligence.

10. Card payment on invoices

Card payment on invoices is available to businesses in Denmark only.

When you turn card payment on, your customers can pay the invoice by card, Apple Pay, Google Pay or MobilePay. Pastinak's fee is 0.5% plus VAT per payment. On top of that, you pay the payment provider's standard card fees. The fee is taken from each payment, and each month you receive one invoice from Ordinem Group ApS for the fees taken. On a dispute Stripe charges the fee to your business. Fees are not returned on refunds. You are the seller and responsible for refunds to your customer. Payment services are provided by Stripe and are subject to the Stripe Connected Account Agreement (https://stripe.com/legal/connect-account).

11. Changes to the terms

We may change these terms. We'll give notice of significant changes in Pastinak or by email with reasonable notice. If you keep using Pastinak after a change takes effect, you accept the new terms.

12. Governing law and venue

This agreement is governed by Danish law. Disputes are settled by the Danish courts, at the court where Ordinem Group ApS has its venue.
